Terms of Service

1. Who we are

[Legal Entity Name] ("LotiFinance", "we", "us") operates a payment infrastructure platform that lets businesses accept MTN Mobile Money and Orange Money payments, send payouts, run payroll, and manage related financial operations.

2. Account verification

Before you can process live payments, we require business verification. This means submitting a full name, a government-issued ID and a live selfie, and — for registered organizations — your company name, registration number and business address, plus any supporting documents we request.

Submissions are reviewed by our team. Your account remains in sandbox/test mode, where no real money moves, until verification is approved.

3. Fees

We charge a fee on each successful transaction: 3% on collections and 2.5% on payouts, each subject to a 50 XAF minimum, and 1.7% on wallet top-ups. Fees are deducted automatically from the relevant transaction.

We may update our fees from time to time. Changes will be reflected on our Pricing page, and material changes will be communicated to you in advance where required by law.

4. Your responsibilities

• Provide accurate information about yourself and your business, and keep it up to date.
• Keep your API secret keys confidential — you are responsible for all activity carried out with your keys.
• Comply with applicable law and with the terms of the underlying Mobile Money providers (MTN, Orange) whose networks you access through our Service.
• Obtain any consent needed from your own customers before submitting their personal data to us.

5. Prohibited activity

You may not use the Service for, or in connection with:

• Money laundering, terrorist financing, or transactions involving sanctioned individuals, entities or jurisdictions.
• Fraud, or any deceptive or unauthorized transaction.
• Illegal goods or services, including weapons, controlled substances, or counterfeit goods.
• Pyramid or Ponzi schemes, or other deceptive financial structures.

6. API and integration

Our API does not currently support an idempotency key, and webhook delivery is best-effort with no automatic retries. You are responsible for reconciling transactions — for example by polling GET /v1/charges/{id}/ — rather than relying solely on a webhook arriving. Full technical details are in our developer documentation.

7. Balance and settlement

Amounts you collect, net of our fee, are credited to your LotiFinance balance. You may move funds out via payouts to Mobile Money. We do not guarantee a fixed settlement timeline beyond what is shown in your dashboard.

8. Service availability

The Service depends on third-party Mobile Money networks. We do not guarantee uninterrupted availability of those networks, and charge creation may temporarily fail if no payment provider is available for your account's region.

9. Suspension and termination

We may suspend or terminate your account if you violate these Terms, if we suspect fraud or illegal activity, if required by a regulator or law enforcement, or where we reasonably believe your account poses a risk to the platform or other users.

You may close your account at any time, subject to settlement of any outstanding balance or obligations.

10. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, LotiFinance is not liable for indirect, incidental or consequential damages, or for outages or failures of third-party Mobile Money networks.

Our total liability for any claim arising from these Terms is limited to the fees you paid us in the [three months] preceding the event giving rise to the claim.

11. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a new "Last updated" date. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of [Governing Jurisdiction], without regard to its conflict-of-law principles.
